Annual General Meeting 2007The eighth Annual General Meeting of Espreon Limited was held on Friday 2 November 2007 at the Radisson Hotel, 27 O’Connell Street, Sydney NSW. The Chairman, Mr Phil Anderson, opened the meeting, declared a quorum present and introduced the Board of Directors. After further formalities, he delivered his address and then invited the Managing Director to address the members. Copies of these may be accessed through the links below. The Chairman then referred to the Notice of Meeting and proceeded with the business of the meeting. The financial statements were discussed and five resolutions were put to the meeting:
- The Remuneration Report for the financial year ended 30 June 2007, be approved and adopted;
- Mr Phillip Anderson, being a Director of the Company, who retires by rotation in accordance with Clause 3.6 of the Company’s Constitution, and being eligible, offers himself for re-election, be elected as a Director of the Company;
- The adoption of, and future issues under the Espreon Executive Option Plan tabled at the meeting be approved for all purposes, including for the purposes of Listing Rule 7.2 exception 9;
- The adoption of, and future issues under the Espreon Exempt Employee Share Plan, tabled at the meeting be approved for all purposes, including for the purposes of Listing Rule 7.2 exception 9 and section 260C of the Corporations Act 2001 (Cth); and
- The adoption of, and future issues under the Espreon Deferred Employee Share Plan, tabled at the meeting be approved for all purposes, including for the purposes of Listing Rule 7.2 exception 9 and section 260C of the Corporations Act 2001 (Cth).

- Mr Ian Payne, being a Director of the Company, who retires by rotation in accordance with Clause 3.6 of the Company’s Constitution, and being eligible, offers himself for re-election, be elected as a Director of the Company;
- Ms Judi Stack who was appointed by the Board as a Director of the Company during the year and who ceases to hold office in accordance with Clause 3.3(a) of the Company's Constitution, and being eligible, be elected as a Director of the Company;
- Mr Roger Amos who was appointed by the Board as a Director of the Company during the year and who ceases to hold office in accordance with Clause 3.3(a) of the Company's Constitution, and being eligible, be elected as a Director of the Company; and
- For the purposes of Listing Rule 10.14 of the Australian Stock Exchange Limited and for all other purposes, the grant to Mr Craig Kennedy, Managing Director and Chief Executive Officer of the Company pursuant to the rules of the Company's Long Term Incentive Plan, be approved

Annual General Meeting 2005The sixth Annual General Meeting of Espreon Limited was held on Friday 4 November 2005 at the Company’s offices, Level 5, 77 Castlereagh Street, Sydney NSW. The Chairman, Mr Phil Anderson, opened the meeting, declared a quorum present and introduced the Board of Directors. After further formalities, he delivered his address and then invited the Managing Director to address the members. Copies of these may be accessed through the links below. The Chairman then referred to the Notice of Meeting and proceeded with the business of the meeting. The financial statements were discussed and six resolutions were put to the meeting:
- The Remuneration Report for the financial year ended 30 June 2005, be approved and adopted;
- Mr Phillip Anderson, being a Director of the Company, who retires by rotation in accordance with Clause 3.6 of the Company’s Constitution, and being eligible, offers himself for re-election, be elected as a Director of the Company;
- Mrs Barbara Moore who was appointed by the Board as a Director of the Company during the year and who ceases to hold office in accordance with Clause 3.3(a) of the Company’s Constitution, and being eligible, be elected as a Director of the Company;
- Ernst & Young be appointed as Auditor of the Company, subject to the Australian Securities & Investment Commission granting their consent to that appointment and approval of the resignation of WHK Greenwoods;
- For the purposes of Listing Rule 10.14 of the Australian Stock Exchange Limited and for all other purposes, the grant to Mr Craig Kennedy, Managing Director and Chief Executive Officer of the Company, of 750,000 rights to subscribe for one fully paid ordinary share each in the Company pursuant to the rules of the Company's Long Term Incentive Plan, be approved; and
- In accordance with section 260B(2) of the Corporations Act, the Company, as the listed holding company of Recount Expense Management Systems Pty Limited (trading as Billback Systems) ("Billback Systems"), gives approval to the provision of financial assistance by Billback Systems for the purpose of, or in connection with, the Company's acquisition of all of the issued shares in Billback Systems in the manner described in the Explanatory Memorandum.

The Chairman then referred to the Notice of Meeting and proceeded with the business of the meeting. The financial statements were discussed and six resolutions were put to the meeting:
- The re-election of Mr Ian Payne as director who retired in accordance with clause 3.6 of the Company’s Constitution.
- The election of Mr Phillip Anderson as director who was appointed by the Board during the year and ceased to hold office in accordance with clause 3.3(a) of the Company’s Constitution.
- The aggregate maximum amount of remuneration of the non-executive directors was increased by $185,000 to $350,000 per annum.
- The issue of securities under the Legalco Long Term Incentive Plan (LTIP) and the terms of the LTIP, as detailed in the explanatory memorandum which accompanied the notice of the AGM.
- The issue of securities under the Legalco Employee Share Purchase Plan (ESPP) and the terms of the ESPP, as detailed in the explanatory memorandum which accompanied the notice of the AGM.
- The grant to Mr Craig Kennedy, Managing Director and Chief Executive Officer of the Company, of 300,000 rights to subscribe for one fully paid ordinary share each in the Company pursuant to the rules of the Legalco Long Term Incentive Plan.

- The issue of up to 150,000 options to the Chairman, Mr John Kehoe;
- The issue of up to 90,000 options to the Mr Ian Payne, a non-executive director;
- The issue of 800,000 options to the Garrisons Accounting Group Limited; and
- The approval of various share issues that occurred during the previous twelve months.
